Who is contracting with whom

These terms govern use of the QuoteProcess application, provided by Alexis Zanotti Orellana, tax ID PENDIENTE: 61132808G, registered at Calle La Ribera 1, Puerta 7 Torrente, Valencia, España CP 46900, contact info@quoteprocess.com.

QuoteProcess is offered exclusively to companies and self-employed professionals contracting in the course of their business. It is not a consumer service, so consumer protection rules, including the fourteen-day right of withdrawal, do not apply. By subscribing you confirm that you are acting as a professional.

You accept these terms by creating an account or subscribing to a paid plan.

What the service does

QuoteProcess connects to the mailbox you authorise, periodically reviews incoming messages, identifies those that are transport requests, extracts their logistics data with the help of a language model, prices them using the rate rules you have configured, and leaves a draft reply written.

Nothing is sent on its own. In this version of the service, every quote requires a person to review it and press send.

Account and mailbox access

• Access is through a Google or Microsoft account. You are responsible for keeping that account secure and for the activity carried out with it.
• By connecting a mailbox you confirm you are authorised to do so and to allow QuoteProcess to read its messages and reply from it.
• Each company may have one connection per channel. You can disconnect it whenever you want.
• You must inform the people whose emails are processed, in your own privacy policy, that you use a processor to handle them.

Plans, quotas and prices

The service is provided by subscription. Each plan includes a number of processed requests, which is the unit of consumption: a request counts when the system processes it, whether or not a quote is produced.

Prices are shown excluding VAT and any other indirect taxes, which are added to the invoice where applicable. Annual subscriptions are billed in advance at the price of ten monthly instalments.

The quota resets at the start of each billing period and does not roll over: unused requests are lost. Once exhausted, automatic processing stops until the next period or until you change plan.

Payment, renewal and cancellation

• Payments are handled through Stripe. We do not store card details.
• The subscription renews automatically for equal periods unless cancelled before the renewal date.
• You can change plan or cancel at any time from the billing portal in your account. Cancellation takes effect at the end of the period already paid for, which you may keep using until then.
• No refunds are given for periods already started or for unused quota, unless the law requires it or the service was unusable through our fault.
• Non-payment entitles us to suspend the service after notice.

Acceptable use

The following are not permitted:

• Connecting mailboxes you are not authorised to connect.
• Using the service to send unsolicited commercial communications or any form of bulk mail.
• Reselling, sublicensing or providing the service to third parties without a written agreement.
• Circumventing usage limits, automating access outside the application, or placing loads on it that degrade the service for other customers.
• Entering unlawful content or special categories of data under article 9 GDPR, which the service is not designed for.

Accuracy of quotes

This section matters more than any other, so it comes without small print.

You define the rate rules. The amount is computed by a deterministic engine applying those rules; the language model only interprets the text of the email and never produces a figure. Even so, an ambiguous email can lead to a wrong extraction: a tonne read as a kilo, a town confused with another of the same name.

That is why the system sends nothing on its own. Before sending, you review the draft, the breakdown and the extracted data. When you press send, the quote is yours and, for all purposes, you issued it.

QuoteProcess is not liable for the commercial consequences of a quote you reviewed and sent, nor for data a third party got wrong in their email. We are, of course, liable for the engine applying the rules you configured correctly.

Availability and dependencies

We make reasonable efforts to keep the service available, but this version includes no service level agreement and no guaranteed uptime percentage.

The service depends on third parties — Google, Microsoft, the payment provider, the model provider, the routing service — which may fail, change their terms or withdraw permissions. If one becomes unavailable and an essential feature is affected, we will say so and look for an alternative; we are not liable for their outages.

Maintenance may be carried out, with advance notice wherever possible.

Intellectual property and your data

• The QuoteProcess software, brand and design belong to the provider. You are granted a limited, non-exclusive, non-transferable licence for the duration of the subscription.
• Your rate rules, templates, emails and quotes are yours. We use them only to provide the service.
• We may use aggregate, anonymous metrics — which identify neither you nor your company — to improve the product.
• On termination you may request an export of your data within the following thirty days.

Data protection

For the personal data contained in your mailbox, you are the controller and QuoteProcess is the processor. That relationship is governed by the Data processing agreement, which forms an inseparable part of these terms and which you accept by accepting them.

The processing of your own data as a customer is described in the Privacy policy.

Confidentiality

Each party will keep confidential the other information it accesses in connection with the contract, and will not use it for purposes other than performing it. This obligation survives for three years after termination.

Suspension and termination

We may suspend or terminate the service, with prior notice except in urgent cases, for non-payment, breach of the acceptable use rules, or use that endangers the security of the service or of other customers.

You may terminate at any time by cancelling. After termination your data is kept for thirty days and then deleted, except what we must retain by legal obligation.

Liability

The total liability of QuoteProcess towards you, on any ground and in aggregate, is limited to the amount actually paid for the service in the twelve months preceding the event giving rise to it.

We are not liable for loss of profit, business, contracts or data, or for indirect or consequential damage.

None of these limitations applies to wilful misconduct, gross negligence, or cases where the law does not allow liability to be limited.

Changes to the terms and prices

We may amend these terms or the prices on thirty days notice by email. If a change does not suit you, you may cancel before it takes effect, without penalty. Continuing to use the service after that date means accepting it.

Governing law and jurisdiction

These terms are governed by Spanish law. For any dispute, the parties expressly submit to the courts of the provider domicile, waiving any other venue.
